Terms of Service

These Terms of Service ("Terms") govern your use of the Guild Rally mobile application ("the App") and website. By creating an account or using the App, you agree to these Terms. If you do not agree, you must not use the App.

1. Eligibility

You must be at least 13 years old to use Guild Rally. By using the App, you represent that you meet this requirement. If you are between 13 and 18, you may only use the App with the consent of a parent or legal guardian who has reviewed and agreed to these Terms on your behalf.

2. Your Account

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate information when creating your account.
• You may not create accounts for the purpose of abuse, spam, or impersonation.
• You must immediately notify us at [email protected] if you become aware of any unauthorized use of your account.

3. Acceptable Use

You agree not to use Guild Rally to:

• Post content that is illegal, harassing, threatening, defamatory, obscene, or abusive.
• Share content that violates any third party's intellectual property rights or privacy rights.
• Distribute spam, malware, or unsolicited messages.
• Impersonate any person or entity.
• Attempt to gain unauthorized access to other accounts or our systems.
• Use the App in any way that could damage, disable, or impair its operation.
• Use automated means (bots, scrapers, crawlers) to access or collect data from the App without our written permission.
• Reverse engineer, decompile, or attempt to extract the source code of the App.

4. Content You Post

You retain ownership of content you create (guild names, quest descriptions, discussion posts, images, etc.). By posting content in the App, you grant us a worldwide, non-exclusive, royalty-free license to use, store, copy, display, and distribute that content within the App for the purpose of providing and improving the service.

You are solely responsible for the content you post. You represent that you have all necessary rights and permissions to post such content. We are not responsible for content posted by other users.

5. Guild Communities

Guilds are communities within Guild Rally. Guild Masters (admins) are responsible for managing their guilds in accordance with these Terms. We reserve the right to remove any guild or content that violates these Terms.

6. Real-World Activities

Guild Rally enables users to organize and coordinate real-world meetups, activities, and events ("Quests"). You acknowledge and agree that:

• We are not the organizer of any Quest or real-world activity. All Quests are organized by users.
• We are not responsible for any injuries, damages, losses, or disputes arising from attendance at or participation in any Quest or real-world activity.
• You participate in all real-world activities at your own risk and assume full responsibility for your safety.
• You are responsible for complying with all applicable local laws and regulations when organizing or attending Quests.

7. In-App Purchases

Guild Rally may offer in-app purchases for premium features. All in-app purchases are processed and handled by Apple through the App Store (or Google through the Google Play Store). We do not collect, store, or have access to your payment information.

• All purchases are final. Refund requests must be directed to Apple or Google in accordance with their respective refund policies.
• We reserve the right to modify, add, or remove premium features at any time.
• Prices are subject to change. Any price changes will take effect for future billing periods only.

Please refer to Apple's Standard EULA or Google Play's Terms for additional terms governing in-app purchases.

8. Intellectual Property

The App, including its design, features, code, branding, logos, and all related intellectual property, is and remains the property of Guild Rally and its licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the App in accordance with these Terms.

You must not contest or dispute our ownership of the App or our intellectual property rights.

9. Third-Party Services

The App relies on third-party services to operate, including cloud hosting, database, authentication, push notification delivery, and payment processing providers. We do not make any warranty or representation regarding the availability or reliability of these third-party services. If a third-party provider ceases to offer their service or changes their terms, we may modify or discontinue features of the App that depend on that service. We are not liable for any disruption caused by third-party services.

10. Termination and Suspension

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms. We may also restrict your access or remove content at our sole discretion if we determine that your use of the App is harmful to other users or the service.

You may delete your account at any time by contacting us at [email protected]. Upon termination or deletion:

• Your access to the App will cease.
• Your profile, guild memberships, and content will be deleted in accordance with our Privacy Policy.
• Any active premium subscriptions should be cancelled through your device's App Store settings to prevent further charges.

11. Disclaimers

Guild Rally is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the App will be available at all times, be uninterrupted, error-free, or free of viruses or other harmful components.

12. Limitation of Liability

To the fullest extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App, including but not limited to loss of data, loss of profits, or personal injury.
• Our total aggregate liability to you for all claims arising from or related to the App shall not exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.
• These limitations apply regardless of whether liability arises in contract, tort (including negligence), strict liability, or otherwise.

13. Indemnification

You agree to indemnify, defend, and hold harmless Guild Rally, its owners, officers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the App or violation of these Terms.
• Content you post or transmit through the App.
• Your participation in any real-world activities organized through the App.
• Your violation of any third party's rights, including intellectual property or privacy rights.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent that such failure or delay is caused by events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, pandemics, or third-party service disruptions.

15. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes by updating the effective date at the top of this page. Continued use of the App after changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the App shall be resolved in the courts of the state where the developer resides.

17. General

• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force and effect.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Guild Rally regarding your use of the App, and supersede any prior agreements or understandings.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Survival: Sections that by their nature should survive termination of these Terms will survive, including but not limited to Sections 4, 8, 11, 12, 13, and 17.
